10. SubrogCltlon Upon PCl~ment or Settlement
Whenever the Company sha I have settled a c10lm under this policy, 011 right of subrogation shall vest in the Company unaffected by
any act of the Insured, and it shall be subrogated to and be entitled to all rights and remedies which the Insured would hove hod agoinst any
person or property in respect to such dgim hod this policy not been issued. If the payment does not cover the loss of the Insured, the Com-
pany shall be subrogated to such rights gnd remedies in the proportion which said payment bears to the omount of sold loss. If loss should
result from any act of the Insured. such oct sholl not void this policy, but the Company, in that event, shall be required to pay only that part
of any losses insured ogoinst hereunder which shall exceed the omount. if any. lost to the Compony by reason of the Impoirment of the right
of subrogation. The Insured. if requested by the Company, shall transfer to the Company all rights and remedies against any person or proper-
ty necessary in order to perfect such right of subrogation. and sholl permit the Compony to use the nome of the Insured in ony tronsoction or
litigation involving such rights or remedies.
If the Insured is the owner of the indebtedness secured by a mortgage covered by this policy, such Insured may release or substitute
the personal liability of any debtor or guarantor. or extend or otherwise modify the terms of payment, or release 0 portion of the estate or
interest from the lien of the mortgoge. or release any collateral security for the indebtedness, provided such act does not result in any loss of
priority of the lien of the mortgage.
11. Policy Entire Contract
Any oction or actions or rl~hts of action that the Insured may hove or moy bring ogolnst the Company orising out of the status of the
lien of the mortgage covered by t Is policy or the title of the estate or interest insured herein must be based on the provisions of this policy.
No provision or condition of this policy con be woiv,d or chonged except by writing endorsed hereon or attached hereto signed by the
President. 0 Vice President. the Secretary, an Assistant Secretary or other validating officer of the Company.
12. Notice., Where Sent
All notices required to be given the Company and any statement in writing required to be furnished the Company shall be addressed to

AGREEMENT FOR SALE AND PURCHASE OF REAL ESTATE
This sales agreement entered into this / 71J. day of September,
1982, by and between Ella M. Chapman of Bozeman, Gallatin County,
Montana, hereinafter referred to as Seller and the City of Bozeman
a municipal corporation hereinafter referred to as Buyer.
WITNESSETH
WHEREAS, the parties desire to sell and to purchase a lot
located within the City of Bozeman, and;
WHEREAS, the parties have negotiated the terms for said sale
declares the purpose of this agreement is to set down all of the
terms and conditions for the sale and purchase of this real estate
in this agreement.
NOW, THEREFORE, IN MUTUAL CONSIDERATION OF THE CONVENANTS
AND CONDITIONS CONTAINED HEREIN, IT IS HEREBY AGREED AS FOLLOWS:
PURCHASE
For and in consideration of the payment of Ten Thousand
Dollars ($10,000.00) , cash, receipt of which is hereby acknowledged
by execution of this agreement, said Ten Thousand Dollars ($10,000.00)
cash being paid by a previously received ernest money deposit of
One Hundred Dollars ($100.00) and the receipt of Ninety Nine Hundred
Dollars ($9,900.00) simultaneously herewith, the Seller hereby
sells to Buyer and Buyer hereby purchases from Seller the following
described real property together with all improvements located
thereon:
The South half of Lots 13, 14 and 15 in Block K
of the Original Townsite of Bozeman, Montana,
according to the official plat thereof on file
and of record in the office of the County Clerk
and Recorder of Gallatin County, Montana.
Together with a portion of vacated Rouse Avenue
as vacated by Ordinance No. 713, recorded June
14, 1979 in Film 50, page 1859.
TITLE INSURANCE AND WARRANTY DEED
Simultaneously with the execution of this Agreement, the
Seller has executed a warranty deed in due and proper form
transferring all of the Sellers right, title and interest in
and to the real property to the Buyer. Purchaser has obtained
and shall pay for a title insurance policy which shall insure
the Seller's merchantable title in and to the property subject
to taxes and other assesments incurred after the date of the

The parties hereby agree that September 17, 1982 shall E t
be the date of closing of this transaction and the date of
possession of property by the Buyer. All risk of loss shall
continue with the Seller until 5:00 p.m. of the date of the
closing of this transaction and possession thereof. There-

after all risk of loss to the real property and improvements shall
remain with the Buyer.
IMPROVEMENTS
The parties understand that there is a structure located on
the real property which is presently uninhabitable. However, the
Seller has informed the Buyer and the Buyer is aware of certain
individuals who claim to have oral or written leases which authorize
these individuals to occupy the improvements. The Seller specifically
warrants, promises and guarantees the Buyer that there are no
written or oral leases for these individuals right to occupy the
premises. Furthermore, the Seller states that neither she, her
agent, assignes or representatives have authorized any individual
to perform any work or provide any materials to the subject real
property or improvements located thereon and that any claim by these
individuals from mechanic's liens, back wages, or costs of materials
and supplies are illegal and unwarranted.
INDEMNIFICATION
The Seller hereby indemnifies and holds the Buyer harmless
from any and all claims, demands, causes of action, judgments,
or damages, including attorney fees, the Buyer may sustain as a
result of any action by any individuals alleging that they have an
interest in the real property or improvements which is the subject
of this agreement. Furthermore, the Seller agrees to indemnify
and hold the Buyer harmless from any and all claims, causes of action,
demands, judgments, damages and attorney fees that the Buyer may
sustain or be required to incurr because of any claim by any
individual that the Seller, the City of Bozeman or the real property
and improvements are responsible for the payment of any wages,
materials or other monies resulting from the improvement by those
individuals of the subject real property or improvements.
REPRESENTATION
Each party has had an opportunity to have an attorney of their
choice review this transaction and represent the Buyer or Seller
in this transaction. Each party has read this Agreement and all
prior agreements between the parties and each party has entered into
this Agreement of her or its voluntary wishes and not due to duress,
hardship or coercion by any party, individual or otherwise.
IN WITNESS WHEREOF, the parties have set their hand and sealed
the year and date first written above.
