WARRANTY DEED
THIS INDENTURE, made the 3rd day of November ,
1986, between the CITY OF BOZEl1AN, a municipal corporation
of the State of Montana, with mailing address of P.O. Box
640, Bozeman, MT 59771, Party of the First Part, and
BATTERED WOMEN'S NETWORK, with mailing address of P.O. Box
752, Bozeman, MT 59715, Party of the Second Part,
WIT N E SSE T H:
FOR VALUABLE CONSIDERATION, the receipt and sufficiency
of which is hereby acknowledged, the Party of the First
Part, has granted and conveyed, and by these presents, does
grant and convey unto the Party of the Second Part and to
its successors and assigns, forever, all right, title and
interest in and to the following described property,
situated in Gallatin County, State of Montana, to-wit:
Lots 13, 14 and 15 in Block 18 of Capitol Hill
Addition to the City of Bozeman, Montana, according
to the official plat thereof of file and of record
in the office of the County Clerk and Recorder of
Gallatin County, Montana.
Subject to easements, rights of way, conditions,
reservations and restrictive covenants of record or
which may be ascertained from a visual inspection
of the land, prior mineral and patent reservations
and exceptions, prior water rights, taxes and other
governmental charges and assessments.
TOGETHER with all and singular the herein before
described premises together with all tenements, heredita-
ments, and appurtenances thereto belonging or in any wise
appertaining, and the reversion and reversions, remainder
and remainders, rents, issues, and profits thereof: and also
all the estate, right, title, interest and right of
homestead, possession, claim and demand whatsoever, as well
in law as in equity, of the said Party of the First Part,
of, in or to the said premises, and every part and parcel

thereof, with the appurtenances thereto belonging; and
subject to the following conditions:
1. That the NETWORK shall use the property solely for
the purpose of providing a shelter facility for
Battered Women as outlined in their grant proposal
to the City Commission.
2. That the NETWORK shall maintain full replacement
cost insurance on the property for as long as it
occupies the property. .
3. That the NETWORK shall not take any action to
remove the property from the tax rolls of Gallatin
County so long as they occupy the real property.
4. That the NETWORK shall not transfer, mortgage,
sell or otherwise encumber the property without
the consent of the City; consent will not be
unreasonably withheld by the City to any transfer
or sale, the purpose of which is to enable the
Network to acquire new, different or substitute
property of a comparable or greater value.
5. That if the property is not used for the purpose
stated in Condition No.1, above, the real
property shall revert back to the City.
TO HAVE AND TO HOLD, all and singular the said
premises, together with the appurtenances unto the said
Party of the Second Part, and to its successors and assigns,
forever.
AND the said Party of the First Part, and its heirs,
does hereby covenant that they will forever WARRANT and
DEFEND all right, title, and interest in and to the said
premises and tbe quiet and peaceable possession thereof,
unto the said.Party of the Second Part, and to the
successors and assigns of the Party of the Second Part,
against all acts and deeds of the said Party of the First
Part, and all and every person and persons whomsoever
lawfully claiming or to claim the same.
IN WITNESS WHEREOF, the said Party of the First Part
has caused this deed to be executed the day and year first

AGREEMENT AND LEASE
THIS AGREEMENT is made this 29th day of '~ntta~l7' , 1982,
by and betwe.en the CITY OF BOZEMAN, a municipal corporation, hereinafter
called "C1 ty," and BOZEMAN AREA BATTERED WOMEN'S NETWORK, anon-prof! t
corporation, hereinafter called "Network."
WIT N E SSE T H
1. The City has obtained a Block Grant from HUD for funds to
purchase real property for organizations deemed by the City to provide
social services for the Bozeman area. The City has designated Network
as one of those organizations and agrees to work with Network in
providing Network real property for housing facilities for victims of
domestic violence.
2, The City has purchased 1n its own name real property located
in Lots 13, 14, and 15 in Block 18 of Capitol Hill Addition to the City
of Bozeman, Montana.
3. The City and Network agree that the property shall be held
by the City for a period of three (3) years from the date of this
Agreement. During the three (3) year period of time, Network shall lease
the property for a shelter facility for Battered Women, occupying the
structure March 1, 1982 or as soon as construction is completed. Network
agrees that it shall use the property only for use as a Battered Women's
Shelter. Any other use of the property by Network shall be considered
a breach of this Agreement.
Network agrees that during the lease period all improvements
or alterations to the property described in 2., above shall have prior
approval from the City.
. When Network leases the property from the City, it shall be
solely responsible for the upkeep, maintenance and repairs of the property.
Network agrees that it shall keep the property insured during the lease
period for the full replacement value of the real property.
Network shall be solely responsible from the date it occupies
the property for.all utilities and city and county taxes that come due on
the property during the lease period.
4. The City and Network agree that the City shall have the right
upon three (3) days notice to inspect the property to determine if Network
is properly maintaining the property and is using it for the purposes that
it is intended to be used. All such inspections shall be done in a manner

annually furnish City with a financial statement and/or tax return and
-<' other financial documents as required so that City may determine whether
Network is financially secure.
5. The City and Network agree that at the end of the three (3)
year period, the City shall determine if Network is financially secure
to maintain the operation of the shelter facility for Battered Women.
The City shall also determine if .the property has been used soley for
the original purpose of the lease. The City shall also have the right
to determine whether the shelter facility is being properly operated
consistent with Network's proposal, Exhibit "A" to this Agreement.
If the City determines that the real property has been used
solely for a shelter facility for Battered Women and that Network is
financially secure to continue the operation of the facility, then the
City shall deed the property over to Network on the following conditions:
A. That Network shall use the property soley for the purpose
of providing a shelter facility for Battered Women as outlined
in its grant proposal to the City Commission.
B. The Network shall maintain full replacement cost insurance
on the property for as long as it occupies the property.
C. That Network shall not take any action to take the property
off the tax rolls of Gallatin County so long as they occupy
the real property.
D. That Network will not transfer, mortgage, sellar otherwise
encumber the property without the consent of the City; consent
will not be unreasonably withheld by the City to any transfer
or sale, the purpose of which is to enable Network to acquire
new, different or substitute property of a comparable or
greater value.
E. Network agrees that if the property is not used for the purpose
of this Agreement, then the real property shall revert back
to the City.
6. Network agrees that during the lease period it shall maintain
a single limit insurance policy in the amount of FIVE HUNDRED THOUSAND AND
NO/100 DOLLARS ($500,000.00) for bodily injury or property damage with the
property currently insured at FIFTY THOUSAND NO/100 DOLLARS ($50,000.00)
and the policy increased accordingly once the improvements and betterments are
completed. This insurance shall list the City of Bozeman as additional named
insured, to indemnify the City from any claims that are made against the City
as a result of this lease and to cover the operation of the housing facility.
7. Network agrees that it shall comply with all City, County, and
State ordinances, laws and regulations in the operation of this shelter
facility.
8. Network agrees that it shall cooperate with the City by

providing the City financial statements, tax returns and other
financial documents as required by the City as hereinabove provided
and shall cooperate with the City on any City audits, reviews or
inspections done by any City, County, State or federal agency.
The City shall give to the Network a twenty-one (21) day
notice to provide the necessary financial documents. The City and
Network agree that any audit or inspections of the Network's
operation shall be done in a manner consistent with insuring the
privacy of the Network's clients. The Network and the City agree )-
that the Network shall prepare alternative documentation for the
City whenever the regular documentation of expenses or business
decisions discloses the names of the clients of the Network. The
City shall not review any documentation concerning the finances of the
Network if that review would interfere with the privacy of the Network's
clients. However, the Network must provide the above mentioned alternate
documentation to the City as requested. If the Network does not provide
that documentation, then the City shall have the right to look at the
regular documentation.
For the purposes of this Agreement, the City shall consider the
following factors in de terming whether the Network is financially secure:
past history of payments and operating and maintenance costs, the ability
to secure grants as shown in the grants the Network has previously
obtained, the availability of grants from the State of Montana Spousal
Abuse Program, the availability of grants from other agencies, the
availability of other financing for the operation of the Network, the
ability to raise money in the community (Gallatin County), reports from
City audits, past financial statements and/or tax returns and the nature
of the organization as a not for profit organization. The Network agrees
that it shall provide to the City the names and addresses of agencies
and foundations from which they have previously obtained grants or from
which they may receive grants in the future.
