MEETING DATE: August 14, 2017 AGENDA ITEM TYPE: Consent RECOMMENDATION: Authorize the City Manager to sign First Amendment to the Professional Services Agreement and Task Order 3 with Leland Consulting Group. BACKGROUND: In 2016, Leland Consulting Group (LCG) was selected through a competitive selection process to provide economic development and corridor revitalization expertise for the Midtown Urban Renewal District (MURD). The process allowed the contract for these services to be extended up to five years. The initial contract provided for one year of services and this contract amendment extends the contract for another two years. In no event, may this PSA be extended beyond June 30, 2021. Task Order #3 authorizes LCG to perform services outlined in the General Scope of Work on an as-needed basis. These services include providing economic development and real estate financial analysis to facilitate Midtown incentive programs and providing guidance on public-private partnerships. FISCAL EFFECTS: The professional service described by Task Order #3 will be provided on an as needed basis as requested by City staff not to exceed $10,000 for this task order. Funding for this work is being allocated from general professional services funds in the Fiscal Year 2018 Work Plan and Budget for the Midtown Urban Renewal District. ATTACHMENT: 1. Task Order #3 with Leland Consulting Group LINKS: Professional Services Agreement with Leland Consulting Group 24 First Amendment to Professional Services Agreement for Economic Development and Corridor Revitalization FY 2018 – FY 2019 Page 1 of 2 FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR PROFESSIONAL SERVICES IN ECONOMIC DEVELOPMENT AND CORRIDOR REVITALIZATION dated September 19, 2016 (the “Agreement”) is made and entered into this ______ day of August, 2017, by and between the CITY OF BOZEMAN, MONTANA, a self governing municipal corporation organized and existing under its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and LELAND CONSULTING GROUP, 610 SW Alder St, Suite 1200, Portland, OR 97205 hereinafter referred to as “Contractor.” In consideration of the mutual covenants and agreements herein contained, the receipt and sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement as follows: 1. Extension of Term. Section 30 of the Agreement is extended for an additional two (2) year period. The Agreement shall terminate on June 30, 2019, but may be extended by written agreement of the parties. In no case, however, may this Agreement be effective after June 30, 2021. 2. Agreement still valid. This Task Order is dated July 17, 2017 between City of Bozeman (City) and Leland Consulting Group (Contractor). The parties agree as follows: The following representatives have been designated for the work performed under this Task Order: City: David Fine Contractor: Alisa Pyszka, Leland Consulting Group SCOPE OF WORK: Contractor agrees to perform the work for Task Order No. 03 (the “Work”) as detailed in the attached Bozeman Midtown Scope of Work – Task Order No. 3 for ongoing consulting services within the Midtown Urban Renewal District incorporated herein and made a part of the Agreement by this reference. COMPENSATION: Leland Consulting Group’s total billing for the scope of services included with this task order is not to exceed $10,000. Work will be completed at the request of City Staff on a time and materials basis. Leland Consulting Group shall submit invoices to the Client for work completed during the prior calendar month. Invoices will be due and payable 30 days after receipt of the invoice by the City. The provisions of the Agreement shall govern the Work. Rates: Rates from the existing rate sheet in the Professional Services Agreement will apply. 28
